Commercial Terms and Conditions
These Commercial Terms and Conditions apply to all purchases of goods and services made through the website ADD WEBSITE NAME, operated by UAB “Dangolakis”, located at Chemijos g. 27C-62, LT-51332 Kaunas, Lithuania. UAB “Dangolakis” is registered in the Lithuanian Register of Legal Entities. These Conditions define the mutual rights and obligations of the Seller and Buyer arising from the conclusion of a distance sale agreement made via the Seller's e-commerce platform.
These Conditions are established in accordance with the Civil Code of the Republic of Lithuania and relevant national and EU legislation on consumer protection, electronic commerce, personal data processing, and taxation.
1. General Provisions
The Seller provides an online platform (the Website) through which Buyers may browse, select, and purchase goods. By placing an order, the Buyer confirms acceptance of these Conditions. Any deviations must be agreed in writing. If any provision is found invalid, the remaining provisions remain effective.
2. User Account
- Buyers may register a user account to streamline the ordering process and track orders.
- All personal data submitted during registration must be accurate and current.
- The Buyer must keep account login credentials confidential and is fully responsible for activity under their account.
- The Seller may deactivate accounts inactive for over 2 years or if used in violation of the Conditions.
3. Conclusion of Sale Agreement
- Goods presented on the Website are not binding offers but invitations to order.
- To initiate a purchase, the Buyer must fill in an order form with product selection, delivery, and payment details.
- The Buyer may review and amend their data before final confirmation.
- A binding agreement is created once the Seller confirms the order via email.
- The Seller may propose changes to an order if fulfillment as originally requested is not possible. Acceptance by the Buyer finalizes the modified agreement.
- The Seller reserves the right to request additional confirmation for large or unusual orders.
4. Prices and Payment
- Prices listed include VAT unless otherwise specified. They are valid while displayed.
- Accepted payment methods include: online card payments, bank transfers (prepayment), and cash on delivery where available.
- Orders are shipped only upon full receipt of payment. For bank transfers, payment must be completed within 5 working days to avoid cancellation.
- For EU-based business clients with valid VAT numbers (excluding Lithuania), VAT may be excluded upon verification via VIES.
- Products marked as "second quality" include manufacturing imperfections. Such goods are guaranteed for 12 months and can be returned within 14 calendar days.
5. Delivery
- Delivery is available in Lithuania and selected EU countries. The cost and estimated timeframe are shown at checkout.
- The Buyer must ensure availability at the delivery address. Repeat or redirected deliveries due to Buyer error may incur additional charges.
- The Buyer should inspect goods upon receipt. If packaging appears damaged or tampered with, the Buyer is entitled to refuse acceptance.
- While the Seller aims to meet delivery deadlines, delays caused by logistics providers are outside its direct control.
6. Right of Withdrawal
- Consumers may withdraw from the Agreement within 14 days of receipt of goods without giving any reason.
- To do so, the Buyer must notify the Seller by email or post using the withdrawal form provided or a clear declaration.
- Returned goods must be unused, undamaged, and in their original packaging. The Buyer bears return shipping costs.
- Refunds will be issued within 14 days of receiving the returned goods or proof of return.
- Any promotional gifts received must also be returned; otherwise, their value will be deducted from the refund.
7. Warranty and Complaints
- All goods are covered by a statutory warranty against manufacturing defects (typically 24 months).
- The warranty does not cover damage from misuse, unauthorized repair, or environmental exposure (e.g., water, fire).
- Complaints must be submitted in writing, including a detailed description and proof of purchase. The Seller may request photographs or return of the product.
- Damage from poor return packaging is the Buyer’s responsibility.
- Before shipping, products are inspected and tested. If damaged during shipment, the Buyer should not accept the delivery and must report the issue immediately.
8. Personal Data Protection
- The Seller processes personal data in accordance with the General Data Protection Regulation (GDPR) and the Law on Legal Protection of Personal Data of Lithuania.
- Data is used solely for fulfilling orders, managing user accounts, and direct marketing (if consented).
- Data may be shared with logistics and IT service providers strictly for the purposes outlined above.
- Buyers have the right to access, correct, or request deletion of their personal data.
- Complaints regarding data handling may be submitted to the State Data Protection Inspectorate (https://vdai.lrv.lt).
9. Cookies and Electronic Communication
- The Website uses cookies to enhance user experience. Buyers can manage cookie settings in their browser.
- By accepting these Conditions, the Buyer agrees to receive order-related and marketing emails (unless unsubscribed).
10. Dispute Resolution and Final Provisions
- These Terms are governed by Lithuanian law.
- In case of disputes, the parties will seek amicable resolution. If not possible, disputes may be referred to competent Lithuanian courts.
- Consumers may seek out-of-court resolution via the State Consumer Rights Protection Authority: www.vvtat.lt.
- If any part of these Conditions is deemed invalid, the remaining provisions remain unaffected.
